These Terms constitute a legally binding agreement between you and our company regarding your use of the platform and services. Our platform connects clients with content creators to facilitate the creation of user-generated content.

Our platform enables clients to post projects and connect with creators who can produce user-generated content. We provide the technology and services to facilitate these connections but are not a party to any agreements between clients and creators.

• We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.

• We do not guarantee that our services will be uninterrupted, timely, secure, or error-free.

• We may update these Terms at any time by posting the amended terms on our website.

You must create an account to use our services. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are solely responsible for all content that you upload, post, email, transmit, or otherwise make available via our services.

Payment Holding & Release Process:

For Brands/Clients: UGC Factory collects the full project payment and holds it temporarily until the delivery is approved by the Client. Once approved, funds are released to the Creator. Your payment will be held by UGC Factory until you approve the creator's delivery.

For Creators: UGC Factory temporarily holds client payments until the delivery is approved. Client payments are held by UGC Factory until the delivery is approved by the client. Once approved, the amount appears in your Available Balance and can be withdrawn.

UGC Factory acts as an intermediary payment processor and not as a financial institution. We facilitate secure transactions between clients and creators but are not a banking or financial services provider.

We may charge service fees as described on our platform. All fees are exclusive of taxes, which are the responsibility of either the client or creator as applicable under local law.

Unless otherwise specified in a separate agreement between clients and creators, upon full payment, clients will own all rights to the content produced through our platform.

Creators retain the right to include completed works in their portfolios unless explicitly prohibited by the client in writing.

Users must respect copyright and intellectual property rights. Do not upload or share content that infringes on another's intellectual property rights.

We reserve the right to terminate or suspend your account and access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Upon termination, your right to use our services will immediately cease, and you must cease all use of our services and delete any content obtained from our services.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
